Quote T&C
1. Quotes and Order Details
Please check your quote carefully before approval.
You are responsible for confirming all products, styles, colours, sizes, size breakdowns, quantities and decoration requirements are correct.
We will produce your order based on the information and instructions you provide or approve.
Changes requested after quote approval, stock ordering or commencement of production may incur additional costs and affect your production timeframe.
2. Quote Validity and Pricing
Unless otherwise stated, quotes are valid for fourteen (14) days from the date of issue.
Pricing and availability are subject to current supplier pricing, stock availability and freight costs at the time your order is accepted.
Expired quotes may need to be revised before an order can proceed.
Once your quote has been accepted and your deposit received, your agreed order price will be honoured unless you request or approve changes to the order.
Any additional costs resulting from requested changes will be discussed with you before the additional work is completed, where reasonably practicable.
3. Deposits and Production
A minimum 50% deposit is required before production commences unless alternative arrangements have been agreed with Thread Traders in writing.
Payment of your deposit authorises Thread Traders to order stock and commence the work required to progress your order.
Your production timeframe begins once:
• your deposit has been received; • all required order information has been supplied; and • all required artwork has been supplied in a production-ready format and artwork or production proofs have been approved, where applicable.
Delays in providing information or approvals may affect your completion date.
4. Artwork and Proof Approval
Please check all artwork and proofs carefully before approval, including spelling, wording, logos, colours, sizing and decoration placement.
All client-supplied artwork must be provided in a production-ready vector file format, unless otherwise agreed by Thread Traders.
Where artwork is not supplied in the required format, is low resolution or is otherwise unsuitable for production, Thread Traders may request an alternative file or undertake additional artwork preparation, conversion, redrawing or recreation as required.
Additional artwork or design charges may apply where Thread Traders is required to convert, redraw, recreate, clean up or otherwise prepare client-supplied artwork for production. Where reasonably practicable, we will advise you of any additional charges before undertaking this work.
The client is responsible for the accuracy and quality of artwork supplied to Thread Traders.
Where supplied artwork is unsuitable for production and the client elects to proceed despite being advised of the issue, Thread Traders is not responsible for reduced production quality that directly results from the quality or format of the client-supplied artwork.
Once you approve artwork or a production proof, Thread Traders may commence production based on that approval.
Where your finished order has been produced in accordance with approved artwork or proofs, Thread Traders is not responsible for errors that were present in the material reviewed and approved by you.
Changes requested after approval may incur additional artwork, setup, stock or production costs and may delay your order.
5. Custom and Branded Orders
Printed, embroidered and otherwise customised products are made specifically for you and your order.
Once stock has been ordered or production has commenced, orders cannot be cancelled, changed, exchanged or refunded for change of mind.
If an order is cancelled after costs have been incurred, you remain responsible for the reasonable stock, artwork, setup, production and other costs already incurred by Thread Traders.
Nothing in these Terms & Conditions limits any rights you may have under the Australian Consumer Law.
6. Colour, Placement and Production Variations
Printing and embroidery are physical production processes and minor variations may occur between digital artwork, screen displays, samples and finished products.
Minor variations in colour, print or embroidery placement and decoration sizing that are reasonably associated with the relevant production process are not considered production faults.
7. Production Spoilage, Shortfalls and Damaged Items
Printing, embroidery and garment decoration processes may occasionally result in spoilage or damage to individual items during production.
Where an item is damaged or rendered unsuitable as a direct result of our production process, Thread Traders will assess the affected item and determine the appropriate remedy. Depending on the circumstances, this may include replacement, a credit or a refund for the affected item.
Where Thread Traders has supplied the garment or product, the remedy will relate to the affected product and applicable decoration services.
For customer-supplied items, we may request proof of purchase or reasonable evidence of the item's replacement value.
Spoilage, damage or a shortfall affecting individual units does not automatically entitle the client to reject or cancel an otherwise completed order.
Where a production shortfall occurs, Thread Traders may replace the affected quantity, provide a credit or refund the affected units, subject to applicable law.
Nothing in this clause limits rights or remedies that cannot lawfully be excluded.
8. Customer-Supplied Garments and Products
Thread Traders accepts selected customer-supplied garments and products for printing, embroidery or decoration.
We reserve the right, acting reasonably, to decline customer-supplied items that we consider unsuitable for the requested decoration process or where there is a material risk of damage to the item, our equipment or the quality of the finished product.
We take reasonable care when handling customer-supplied items.
However, to the extent permitted by law, Thread Traders is not responsible for issues caused by pre-existing faults, garment construction, fabric composition, manufacturer defects or other characteristics that make an item unsuitable for the requested production process.
Where production spoilage occurs to a customer-supplied item, clause 7 applies.
9. Sizing, Quantities and Product Selection
You are responsible for confirming all garment styles, colours, sizes, size breakdowns, quantities and product selections before approving your order.
Sizing and fit can vary between brands, products and manufacturers.
Any size guides, measurements or product specifications we provide are based on information supplied by the relevant manufacturer or supplier.
Where we complete an order using the sizes, quantities and products selected or approved by you, customised products cannot be exchanged or refunded because an incorrect size, quantity, style or product was selected.
This does not apply where Thread Traders has failed to supply your order in accordance with the approved order details or where you otherwise have rights under applicable law.
10. Production Timeframes
Production timeframes provided by Thread Traders are estimates unless a specific completion date has been expressly agreed in writing.
Production may be affected by stock availability, supplier delays, freight delays, client approval delays and other circumstances outside our reasonable control.
We will take reasonable steps to keep you informed of any material delay affecting your order.
Thread Traders is not responsible for delays caused by outstanding client information, instructions or approvals.
11. Client Delays and Inactive Orders
You are responsible for providing the artwork, information, approvals and instructions required to progress your order.
If required information or approval is outstanding, we may place your order on hold until it is received. Your production timeframe may be revised accordingly. A revised quote may been supplied to you, should the required information, approval, or deposit not be made.
Where Thread Traders has already ordered stock, completed artwork or setup, commenced production or incurred other reasonable costs, you remain responsible for those costs.
Your deposit may be applied towards stock, artwork, setup, completed work and other reasonable costs incurred for your order.
If your order remains inactive for sixty (60) days because we are waiting for information, instructions or approval from you, we may contact you in writing and provide fourteen (14) days to respond.
If we do not receive a response, your order may be closed and treated as abandoned. Any deposit paid may be applied towards the reasonable costs and losses incurred in connection with your order.
12. Stock Availability and Substitutions
All products are subject to supplier stock availability.
If a product becomes unavailable, we will contact you to discuss an appropriate alternative.
We will not substitute a product in a way that materially changes your order without your approval.
Any difference in price resulting from an approved substitution will be reflected in your final order balance.
13. Delivery, Freight and Courier Services
Please ensure your delivery address and delivery instructions are complete and correct.
Thread Traders may use third-party freight, postal and courier providers to deliver orders.
Delivery timeframes are estimates unless expressly agreed otherwise in writing.
While we take reasonable care when arranging delivery, delays caused by third-party carriers or circumstances outside our reasonable control may affect delivery timeframes.
Additional freight, return or redelivery costs resulting from an incorrect address, incorrect client-supplied instructions or a failure to accept delivery may be charged to you.
Please notify us as soon as reasonably practicable if your order is damaged in transit or there is an apparent delivery issue so we can investigate the matter with the relevant carrier.
14. Client-Supplied Artwork and Intellectual Property
By providing Thread Traders with a logo, artwork, image, trade mark or other material for reproduction, you confirm that you have the right or authority to use that material.
Thread Traders will rely on your authority to reproduce client-supplied material for the purpose of completing your order.
To the extent permitted by law, the client is responsible for claims resulting from the reproduction of client-supplied material where the client did not hold the required rights or permissions.
15. Final Payment and Release of Orders
Once your order is complete, Thread Traders will issue a final invoice and notify you that your order is ready for collection or dispatch.
The outstanding balance is payable in full upon collection of your order or, in all cases, within seven (7) days of Thread Traders notifying you that your order is complete and available for collection or dispatch, whichever occurs first.
Orders being dispatched must be paid in full before dispatch.
Unless approved credit terms have been agreed with Thread Traders in writing, Thread Traders may withhold an order until all amounts due for that order have been paid in full.
16. Acceptance of Terms
Approval of your quote, payment of your deposit or written or electronic instruction to proceed with your order confirms your acceptance of these Terms & Conditions.
Artwork Approval T&C
1. Client Approval
Where Thread Traders provides artwork, a digital mock-up or production proof for approval, the client must carefully review all details before providing approval.
The client is responsible for checking, where applicable:
spelling, wording and punctuation;
names, dates, numbers and contact details;
logos and artwork;
garment or product selection;
decoration size and dimensions;
decoration placement and positioning;
colours;
quantities and variations; and
any other details shown on the artwork or proof.
Approval may be provided electronically, including by email or other written electronic communication accepted by Thread Traders.
2. Approval to Proceed
Once artwork or a production proof has been approved, Thread Traders may proceed with production in accordance with that approval.
Client approval confirms that the client has reviewed the artwork or proof in detail and is satisfied that the details shown are correct for production.
The client acknowledges that production may commence promptly following approval and that changes may not be possible once production has commenced.
3. Errors in Approved Artwork
Thread Traders will take reasonable care when preparing artwork and proofs.
However, where an error, omission or incorrect detail was clearly shown in artwork or a proof provided to and approved by the client, Thread Traders will not be responsible for reproducing that approved error in the finished product.
This includes, but not limited to, approved errors relating to spelling, wording, numbers, names, dates, artwork, logos, sizing, positioning or other client-approved details.
This clause does not apply where the finished product has not been produced in accordance with the approved artwork or proof, or where Thread Traders is otherwise responsible under applicable law.
4. Changes After Approval
Any change requested after artwork or proof approval will be treated as a variation to the approved order.
Where production has not commenced, Thread Traders will use reasonable efforts to accommodate the requested change.
Additional artwork, setup, stock, production or administration costs resulting from the change may be charged to the client.
Where production has already commenced, Thread Traders may be unable to make the requested change.
If production must be stopped, restarted or reproduced as a result of a client-requested change after approval, the client will be responsible for the reasonable additional costs incurred.
5. Artwork Colours
Colours displayed electronically may vary from the colours produced on physical garments or products due to differences in screens, colour settings, inks, threads, fabrics, garment colours and production methods.
Unless a specific colour-matching service has been expressly agreed in writing, digital artwork and mock-ups are intended to provide a reasonable representation of the finished product and are not a guarantee of exact colour reproduction.
Where specific brand colours are important, the client must advise Thread Traders before approving the artwork.
6. Artwork Size and Placement
Digital mock-ups are intended to demonstrate the approximate size and placement of artwork on a garment or product unless exact dimensions or positioning are expressly specified on the proof.
The appearance and relative position of artwork may vary between garment sizes, styles and products.
Minor variations in decoration size or placement that are reasonably associated with printing, embroidery and garment production processes will not, by themselves, constitute a production fault.
Where exact dimensions or specific placement requirements are required, the client must advise Thread Traders before artwork approval and ensure those requirements are recorded on the approved proof.
7. Embroidery
The client acknowledges that embroidery is a physical stitching process and the finished embroidery may vary slightly from digital artwork.
Fine details, very small text, gradients and certain design elements may need to be modified to produce a suitable embroidered result.
Where Thread Traders recommends modifications to artwork for embroidery, the revised artwork or proof will be provided for approval where appropriate before production.
Thread colours may also vary from colours displayed on a digital screen.
8. DTF and Printed Artwork
The client acknowledges that the appearance of printed artwork may vary depending on the garment colour, fabric composition, texture, print size and production process.
Thread Traders may recommend changes to artwork where necessary to achieve a suitable production result.
Any material changes made by Thread Traders to the client's approved design will be submitted for approval before production where reasonably practicable.
9. Artwork Supplied by the Client
The client is responsible for the accuracy, quality and suitability of all artwork supplied to Thread Traders.
Unless otherwise agreed by Thread Traders, all artwork must be supplied in a production-ready vector file format.
Where artwork is not supplied in the required format, is low resolution, incomplete or otherwise unsuitable for production, Thread Traders may request a higher-quality or alternative file.
Where the client is unable to provide suitable production-ready artwork, Thread Traders may offer artwork preparation, conversion, redrawing, recreation or clean-up services.
Additional artwork or design charges may apply where Thread Traders is required to convert, redraw, recreate, clean up or otherwise prepare client-supplied artwork for production.
Where reasonably practicable, Thread Traders will advise the client of any additional artwork charges before undertaking the additional work.
Any artwork prepared, converted or recreated by Thread Traders must be reviewed and approved by the client before production.
Thread Traders is not responsible for reduced production quality that directly results from poor-quality or unsuitable client-supplied artwork where the client has been advised of the issue and instructs Thread Traders to proceed.
The client confirms that they hold, or have permission to use, any intellectual property contained in artwork supplied to Thread Traders.
10. Samples and Pre-Production Testing
A digital proof or mock-up is not a physical production sample unless expressly stated otherwise.
Where a client requires a physical sample, test print, embroidery sample or other pre-production sample, this must be requested before approval for full production.
Additional artwork, setup, garment, production and freight charges may apply.
Where the client approves a physical production sample, Thread Traders will use reasonable care to produce the balance of the order consistently with the approved sample, subject to normal production variations.
11. Client Responsibility to Raise Concerns
If anything shown on an artwork or proof is unclear, incorrect or does not reflect the client's requirements, the client must raise this with Thread Traders before providing approval.
The client should not approve artwork on the assumption that a change will be made later unless that change has been expressly confirmed by Thread Traders.
12. Australian Consumer Law
Nothing in these Artwork & Proof Approval Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law.
Invoice T&Cs
Application of Accepted Order Terms
This invoice is issued in accordance with the quote, order details and Terms & Conditions previously accepted by the client.
The Terms & Conditions applicable to the original order continue to apply to this invoice and the completed order.
Where there is any inconsistency between this invoice and the accepted quote or order terms, the accepted quote or order terms will prevail unless Thread Traders has expressly agreed otherwise in writing.
Payment
The outstanding balance is payable in full upon collection of your order or, in all cases, within seven (7) days of Thread Traders notifying you that your order is complete and available for collection or dispatch, whichever occurs first.
Orders being dispatched must be paid in full before dispatch.
Unless approved credit terms have been agreed with Thread Traders in writing, Thread Traders may withhold an order until all amounts due for that order have been paid in full.
Payment Allocation
Any payment received may be applied by Thread Traders to the oldest outstanding amount owing by the client, unless otherwise agreed in writing.
GST and Payment Charges
All amounts shown on this invoice are in Australian dollars and include or exclude GST as stated on the invoice.
Any bank, merchant, card-processing or transaction charges payable by the client will only be applied where disclosed and permitted by law.
Release and Collection of Orders
Completed orders should be collected within seven (7) days of notification that they are ready for collection.
Uncollected goods will be managed in accordance with applicable law.
Overdue Accounts
Invoices not paid by the due date stated within your invoice are considered overdue.
Thread Traders may issue payment reminders, a formal letter of demand, refer an overdue account to a debt collection agency or commence recovery proceedings.
To the extent permitted by law and under the terms applicable to the order, the client may be responsible for reasonable debt recovery and legal costs actually incurred by Thread Traders as a result of the overdue account.
Order Issues
Please inspect your order promptly following collection or delivery.
Any apparent error, shortage, damage or production issue should be reported to Thread Traders as soon as reasonably practicable, together with photographs or other information reasonably required to assess the issue.
Nothing in these Invoice Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law.
